It is expressly understood that the person, firm or corporation named as "advertiser" is herein contracted in his or her own right and interest as principal, and American Business Media LLC, shall under no circumstances be under any obligation to any other person, firm or corporation whether named or unnamed herein.
All advertising placements are final, and advertisers may not cancel or reschedule reserved ad placements once confirmed.
In the event that advertising materials are not received by American Business Media LLC by the stated deadline, the reserved advertising space may be forfeited without refund or credit. Rescheduling or reinstatement of forfeited ad space is at the sole discretion of American Business Media LLC and will only be considered if an exception is granted in writing and approved by American Business Media LLC.
Payment should accompany the advertising agreement; and the terms of this contract supersede any other advertisement order form.
All pricing, including but not limited to exhibit space, sponsorships, advertising placements, and related marketing packages, is subject to change without notice until an agreement is executed and payment is received and accepted by American Business Media LLC.
Unless otherwise stated in writing, quoted pricing is valid for thirty (30) days from the date of proposal. After that period, pricing and availability are not guaranteed.
Advertising, exhibit space, and sponsorships are sold on a first-come, first-served basis and are not reserved until a signed agreement and required payment are received. American Business Media LLC may adjust rates, modify packages, or withdraw inventory at any time prior to contract execution or payment.
In the event that this contract is placed in the hands of an attorney for enforcement or collection of any sum of money due to American Business Media LLC, all necessary cost and expenses of collection, including judicial bonds and reasonable attorney's fees shall be recoverable in addition to the amount then due.
This Advertising Agreement shall be governed by the laws of the State of Connecticut, and the Courts of the State of Connecticut shall have personal jurisdiction over the advertisers and agents named herein. Performance by American Business Media LLC shall be contingent upon availability of materials and labor, acts of God, riots, warfare, government regulations and/or conditions beyond American Business Media LLC's control.
American Business Media LLC may list a directory of included advertisers subject to its discretion. Omission of an advertiser from the directory or listing does not constitute a breach, grounds for a claim, or justification for a refund or discount.
In the event of any significant errors or omissions, American Business Media LLC agrees at its discretion to either credit or refund the amount paid for the advertising or run corrected copy in a subsequent issue. Under no circumstances shall American Business Media LLC pay damages of any nature for such occurrences.
American Business Media LLC rights under the contract may be assigned by American Business Media LLC in whole or part to any person, firm or corporation directly or indirectly acquiring the right to publish any edition(s) of American Business Media LLC publications, or any substantial interest in such right to publish.
The terms and provisions of this contract may not be altered or modified except with the written consent of American Business Media LLC. American Business Media LLC reserves the rights to reject any copy which it deems objectionable. The parties hereto have read the terms and conditions of the agreement before signing and hereby agree that no statement, remark,
agreement, or understanding, oral or written, not contained herein, shall be recognized and enforced.
For Exhibit Space and Sponsorships
It is the policy of the Events that in the event of cancellation or no-show on the part of the Exhibitor or Sponsor, no refunds will be made. Exhibitor hereby waives any and all claims against American Business Media LLC for damages or compensation due to cancellation or postponement of the Exposition pursuant to this paragraph. American Business Media LLC may reschedule events as necessary or prudent. Refunds for events canceled by American Business Media will be made in the form of credits to be used for future select American Business Media LLC products and services only. Additional terms for exhibit space, sponsorship, or event purchases are subject to the terms outlined in the Exhibitor and Sponsor Additional Terms document and the publicly available terms at https://www.ambizmedia.com/terms-conditions.
I authorize American Business Media LLC to charge advertising costs to the credit card indicated herein or provided elsewhere for advertising or event related charges. As credit card holder, I further agree to the advertising terms and conditions of the within agreement and advertising contract.
I have read, understand and agree to the advertising terms and conditions of this advertising contract and further agree that no statement, remark, agreement or understanding, whether oral or written, not contained herein shall be recognized or enforced.
